Independence is the product. Every structure, every fee arrangement, and every engagement term is built around one principle: the analysis serves the client and no one else. This page states, in writing, exactly how that independence is maintained.
Fee-only structure. The only fee earned by this practice is the fee agreed in writing with the client at the scoping stage. That fee is fixed to the scope of the engagement, not to the size of the asset or the outcome of the decision. There is no percentage of deal value, no success fee, and no performance-linked compensation of any kind.
No commission. This practice does not accept, and has never accepted, any commission, rebate, or transactional compensation from any developer, vendor, agent, broker, or intermediary in any market covered by this practice. This commitment applies to all 14 analyst-coverage markets and to any market where introductory or preliminary work is undertaken.
No referral fees. This practice does not accept referral fees, introducer fees, or finder's fees from any third party in connection with any engagement, introduction, or recommendation made in the course of its work. Where introductions are made between parties known to the practice, they are made on an unconditional basis with no compensation sought or accepted from either party.
No co-advisory arrangements. This practice does not enter co-advisory, joint venture, or revenue-sharing arrangements with any other advisory firm, legal practice, real estate agent, or financial institution. All work is conducted independently.
No proprietary positions. Andrew May does not hold, and will not hold during any active engagement, any direct or indirect financial interest in any asset, development, fund, or vehicle that is the subject of an analytical engagement. If a potential conflict of this nature were to arise, it would be disclosed to the client immediately and the engagement would be declined or terminated.
No brokerage or transactional involvement. This practice does not act as a transaction agent, buyer's agent, seller's agent, or mortgage broker in any jurisdiction. The practice has no transactional involvement in any asset that it analyses. The analytical verdict is the deliverable. The transaction, if it proceeds, is the client's decision and the client's alone.
Disclosure of Potential Conflicts
In the event that any circumstance arises that could reasonably be perceived as a conflict of interest in relation to a specific engagement, that circumstance will be disclosed to the client in writing before the engagement commences or, if it arises during an engagement, immediately upon identification.
The client will be given the opportunity to determine whether to proceed on the basis of the disclosed circumstance or to terminate the engagement. If the engagement is terminated for this reason, fees already paid will be refunded on a pro-rata basis for work not yet delivered.
Governing Commitment
These commitments are not aspirational. They are the structural conditions under which this practice operates. They are confirmed in writing in the Client Advisory Engagement Terms issued at the commencement of every engagement, and they apply for the duration of that engagement and beyond it.
